What a real estate token represents

A guide to distinguish ownership, company interests, loans and economic rights in tokenized real estate projects.

Editorial review: 2026-10-26

The property and the token sit on different layers

Tokenization can record and transfer a right connected with an asset. That right cannot be inferred from the token name or a photograph of the property. There may be a building, a company that owns it, a contract and a token recording a position within that structure. To understand what is acquired, identify all four layers and verify which one is legally linked to the holder.

Four structures to keep separate

A project may offer direct co-ownership, interests in a special-purpose company, a loan to a developer or contractually defined economic rights. Each may be described as real estate, while the obligated entity, payment priority, voting power and exposure to debt and costs differ. The Bank for International Settlements describes tokenization as a digital representation of claims and rules; the technology does not replace the legal definition of the right.

Lofty: an interest in the property company

Lofty states that each property has its own LLC and that customers acquire interests in that company. The provider’s description therefore points to an interest in the entity holding the property, rather than every holder being individually named on the deed. A practical review requires the LLC documents, the registered owner and the rules governing votes, expenses and management.

Reental Valencia 14: a hybrid structure

The official Valencia 14 listing describes a combination of indirect equity in a vehicle company and economic rights linked to homes. This example shows why one platform’s structure should not be applied to another. The listing, explanatory document and subscription agreement need to be read together; LINK TO TOKEN continues to flag unresolved documentary differences in the project profile.

Income, decisions and costs depend on the contract

Even when a property earns rent, a holder does not necessarily receive gross income. Check who collects it, which expenses, debt, taxes and reserves are deducted, when results are distributed and which decisions require a vote. Identify the manager, replacement rules and what happens if the platform stops operating. A commercial projection cannot replace these provisions.

Transfer, sale and liquidation are different exits

Technical transferability does not guarantee a buyer. A secondary-market order is not issuer redemption, and both differ from selling the property and liquidating the company. For every exit, record who must pay, the applicable conditions, documented timing and whether buyers are available. If current source material does not answer a question, mark it as unverified.
